Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you and SimplyfyBiz Inc. ("SimplyfyBiz", "we", "us", or "our"), governing your access to and use of the SimplyfyBiz website at simplyfybiz.com and all related services (collectively, the "Platform").
By accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Platform.
1. Eligibility
You must be at least 18 years of age and legally capable of entering into a binding contract under the laws of your province or territory to use our services. By using the Platform, you represent and warrant that you meet these requirements.
2. Description of Services
SimplyfyBiz provides an online platform to assist Canadian entrepreneurs with:
- Federal and provincial business incorporation
- Sole proprietorship registration
- Extra-provincial registrations
- Related document preparation and government filing services

3. Account Registration
To use our services, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain the security and confidentiality of your account credentials
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activity that occurs under your account
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.
4. Your Responsibilities
You are solely responsible for the accuracy and completeness of all information you provide to us. SimplyfyBiz will rely on the information you submit to prepare and file your registration documents. We are not liable for any errors, delays, rejections, or consequences arising from inaccurate, incomplete, or misleading information provided by you.
You represent that you have the legal authority to register the business described in your application and that the registration does not violate any applicable law.
5. Fees and Payment
All fees are displayed in Canadian dollars (CAD) and are inclusive of applicable government filing fees unless otherwise stated. Payment is processed securely through Stripe. By submitting payment, you authorize us to charge the applicable fees to your payment method.
For plans with annual compliance fees (Growth and Complete plans), you will be charged the one-time registration fee plus the first year's annual compliance fee at the time of purchase. Subsequent annual fees will be charged automatically on the anniversary of your purchase date. You may cancel your annual subscription at any time from your account settings.
6. Refund Policy
You may request a full refund within 24 hours of payment, provided your registration has not yet been submitted to the relevant government authority. Once a registration has been submitted, government filing fees are non-refundable as they are paid directly to the government on your behalf.
If we are unable to complete your registration due to an error on our part, we will provide a full refund including any government fees paid. To request a refund, contact us at [email protected] within the applicable timeframe.
7. Processing Times
Estimated processing times are provided as a guide only and are not guaranteed. Processing times depend on government authorities and may vary based on application volume, completeness of your submission, and other factors outside our control. SimplyfyBiz is not responsible for delays caused by government processing backlogs, incomplete information, or other circumstances beyond our reasonable control.
8. Acceptable Use
You agree not to use the Platform to:
- Register a business for any unlawful purpose
- Submit false, misleading, or fraudulent information
- Impersonate any person or entity
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the Platform or its infrastructure
- Violate any applicable federal, provincial, or local law or regulation
9. Intellectual Property
All content on the Platform, including but not limited to text, graphics, logos, software, and user interface design, is the property of SimplyfyBiz Inc. or its licensors and is protected by applicable Canadian and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.
Documents generated through our Platform for your specific business registration are your property once payment is confirmed.
10. Disclaimer of Warranties
The Platform is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.
We do not guarantee that any registration application will be approved by the relevant government authority. Approval is at the sole discretion of the applicable government body.
11. Limitation of Liability
To the maximum extent permitted by applicable law, SimplyfyBiz Inc., its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform or our services, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the total amount you paid to us in the 12 months preceding the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless SimplyfyBiz Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Platform, your violation of these Terms, or your violation of any applicable law.
13. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Province of New Brunswick and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute arising out of or relating to these Terms or the Platform shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Moncton, New Brunswick, in accordance with the applicable arbitration rules, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.
14. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised effective date and, where appropriate, by email. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms.
